• Strengthening Project Preparation Capacity in Asia and the Pacific - Supporting Preparation of Infrastructure Projects with Private Sector Participation in Asia Pacific (49407-005) Approval Date: 28-Dec-2016 Estimated Commencement Date: 420,000 USD Engagement Period: 36 MONTH Objective and Purpose of the Assignment The Government of the People-s Republic of Bangladesh (GOB) has resolved to deliver the Joydebpur- Mymensingh expressway, an approximately 87 km road that starts at Joydebpur and ends at Mymensingh, (the “Project”) under Public-Private Partnership modality. The government has signed a Memorandum of Understanding (MOU) with the Republic of Korea (ROK) to implement the project under Government to Government (G2G) arrangements. ROK has selected a consortium of SK Engineering & Construction Company Limited (SK E&C), Korean Expressway Corporation and Lotte Engineering & Construction Company Limited for implementation of the Project (the Preferred Bidder) with SK E&C being the consortium lead. The Public-Private Partnership Authority (“PPPA”), under the Prime Minister-s Office of the GOB, is assisting the Roads and Highways Department of the GOB (the “RHD”) as implementing agency for the Project. The Office of Public-Private Partnership (“OPPP”) of the Asian Development Bank (“ADB”) is mandated as sole and exclusive transaction advisor to support the Project-s preparation, structuring, procurement, negotiation and commercial & financial closures. GOB is also receiving Technical Assistance from the Asia Pacific Project Preparation Facility (“AP3F”) to support these activities. ADB (the “Client”) is seeking the services of a number of consultants and subject matter experts covering different areas such as technical and commercial, financial modeling, environmental safeguards, social safeguards, PPP policy and legal advisory to support OPPP in delivery of the scope of work. This Terms of Reference (TOR) relates to recruitment of a qualified international safeguards advisory firm (the “Safeguards Advisor”) to support ADB throughout the feasibility, procurement, evaluation and negotiation phases, as further elaborated below. It is expected that the Safeguards Advisor will work collaboratively with ADB and other advisors to deliver the scope of services.
