- PSIP V and Project OverviewThe Philippines Department of Education (“DepEd” or “Client”) currentlyhas a classroom backlog of close to 165,000 classrooms. The shortfall issignificant and growing due to constrained government funding, lengthyprocurement processes and an increasing student population. DepEd is workingtowards leveraging PPPs under a scalable model to introduce private sectorefficiency and expertise in classroom construction, while improving fiscalsustainability. Previously DepEd undertook PPP -based classroom constructioninitiatives by way of the PPP for School Infrastructure Project (PSIP) phases Iand II, awarded in 2012 and 2013 respectively). Implementation of PSIPIII and IV is currently underway. PSIP III aims to construct 15,000 classroomsin regions I, II, III, IV-A, IV-B, V, CAR, and NCR. For PSIP IV, the DepEdtargets 40,000 classroom constructions in regions VI, VII, NIR, VIII, andselected areas in Luzon. DepEd is now planning to launch PSIP V, which aims toconstruct approximately 50,000 classrooms across multiple locations in Mindanao(regions IX, X, XI, XII, XIII, BARMM). DepEd is seeking to implement the first tranche of approximately 5,000classrooms in PSIP V under a PPP model (the “Project”). Legal Consultant Scope of Work The Legal Consultant will provide support on all legal aspects of theProject, including legal due diligence, inputs to the transaction structuring,preparation of project terms and conditions, drafting of the project legalagreement(s) and tender/bid documents, and legal inputs to thetender/procurement strategy and process. Throughout the process, the Legal Consultant shall work in coordinationwith IFC and its Technical and E&S consultants, dedicating sufficientqualified resources to meet the deliverables and the timetable.The Legal Consultant will be able to draw on the due diligence andtransaction documentations prepared for PSIP IV.
